ODELI General Terms and Conditions of Sale

1. General Clauses
Our sales are subject to these general terms and conditions, which prevail over all purchase conditions, unless formally, expressly, and in writing waived by us.
Our current general terms and conditions of sale are systematically printed on the back of original invoices issued, excluding prototype and/or sample orders.
The first order results in an invoice being issued and, consequently, payment or a down payment implies the client’s full and unreserved adherence to these GENERAL TERMS AND CONDITIONS OF SALE to the exclusion of any other document.
No particular condition may, unless formally and in writing accepted by ODELI, prevail against the GENERAL TERMS AND CONDITIONS OF SALE. Any contrary condition opposed by the client shall therefore, in the absence of express acceptance, be unenforceable against ODELI.
The fact that ODELI does not at any given time avail itself of any of these present GENERAL TERMS AND CONDITIONS OF SALE cannot be interpreted as a waiver of its right to avail itself of any of the said conditions later. Our general conditions are also available upon request.

2. Account Opening
To open a company account, a bank account number accompanied by a letterhead, including your contact details (address, telephone, fax, etc.), as well as your NAF or APE number, your SIRET number, and your VAT number, are required.
The first order requires a minimum payment of 30% upon order, with the balance due upon delivery.

3. Orders
Orders can be sent to us by mail, fax, or Internet to ODELI’s main establishment located at EVOLY’SS, Rue Albert de Dion 63500 ISSOIRE, Metropolitan France. We do not return order acknowledgements except in cases of price, reference, or availability discrepancies. Due to possible technical improvements, we reserve the right to modify our devices without prior notice. Our catalog and prices are established for devices with a voltage of 230 V 50 Hz or low voltage, starter ignition where applicable, or electronic power supply when specified. Operation for an ambient temperature of 30°C. For any other use, please consult us. Our prices are in Euros excluding VAT, which is added to the total invoiced amount, according to the legal rate in force on the day of invoicing.
Any modification to the order must be notified in writing by the client and, to be enforceable, must be subject to a written confirmation from ODELI specifying the consequences in terms of price and deadlines.
Any order cancellation will result in payment for services already rendered by ODELI.

4. Retention of Title
The order we have recorded above was taken according to OUR GENERAL TERMS AND CONDITIONS OF SALE and with the present RETENTION OF TITLE clause: our company retains ownership of the goods sold until full and final payment of the corresponding invoices.
This provision does not prevent the transfer to the buyer upon delivery of the risks of loss and deterioration of the goods sold, as well as any damage they may cause.
In application of Law No. 90.335 of May 12, 1980, the goods sold remain the property of the seller until full payment of the price and its accessories.

5. Warranties
All our products are guaranteed against any manufacturing or material defect for one year, but not against damage due to a transport or handling accident, misuse, or modification of our devices, or if the material or design originates from the buyer, or if the functional defect results from an intervention on the goods carried out without written authorization, or if the defective operation results from force majeure. Our warranty is limited to the replacement of recognized defective parts, without any compensation for delay, return shipping costs, assembly or disassembly, or any other damage.

6. Shipping
Free shipping and packaging, in Metropolitan France, for any order delivered in a single shipment and with a value exceeding €900 excl. VAT. Specific export conditions defined on a case-by-case basis. The client must check the delivery in the presence of the driver if they intend to make a specific reservation regarding transport, and note them on the delivery note and must take all actions in accordance with the provisions of Article L.133-6 of the Commercial Code. In case of material damage, no claim will be accepted if the facts have not been noted on the carrier’s receipt.

7. Delivery Times
Delivery times are indicative, as accurate as possible, but depend on ODELI’s supply and transport conditions.
ODELI undertakes to exercise the utmost diligence to meet deadlines.
Delays cannot give rise to damages, retention, or cancellation of ongoing orders. In particular, it is specified that delays due to climatic conditions cannot give rise to compensation. Furthermore, ODELI cannot be held responsible for delays caused by the client’s late supply of products or services. The following are considered cases of force majeure releasing ODELI from its obligation to deliver: war, riot, fire, strikes, accidents, the impossibility for it to be supplied, particularly tool accidents, machine breakage, interruption or delay of transport. ODELI will inform the client of any delay as soon as possible. In any event, on-time delivery can only occur if the client is up to date with their obligations towards ODELI.

8. Returns
Prior written agreement from us is required. Specially manufactured goods will not be accepted for return. Shipped free of charge for freight and packaging, in original packaging, they will only be accepted after a quality control, and a credit note for 80% of the initial invoice amount will be issued, if the products are in perfect condition. Otherwise, all costs for restoring them to saleable condition will be deducted. We do not take back lamps under any circumstances.

9. Jurisdiction
In case of dispute, the Commercial Court of Clermont-Ferrand shall have sole jurisdiction, even in the event of a warranty claim or multiple defendants. Our drafts or payment acceptances do not constitute a waiver or derogation from this jurisdiction clause.
